Responsibilities

• Provide strategic legal counsel to senior leadership, focusing on corporate, contractual and regulatory matters
• Support and lead Corporate Governance and corporate affairs matters, including advising boards, committees and structuring governance bodies
• Draft, review and negotiate agreements, especially financing contracts and capital markets instruments
• Advise on corporate transactions such as debt financings, public offerings, M&A, reorganizations and corporate restructurings
• Ensure regulatory compliance with the relevant authorities by monitoring applicable laws, rules and guidance
• Prepare legal opinions, memoranda and presentations to support decision-making

Requirements

• Law degree with active registration with the Brazilian Bar Association (OAB/PR)
• Proven solid experience in Corporate Governance and Corporate Law
• In-depth knowledge of corporate legislation (Brazilian Corporations Law – Lei das S.A., Civil Code, among others)
• Practical experience in complex corporate transactions (capital raisings, M&A, public offerings, reorganizations)
• Experience in contract law with an emphasis on financial agreements
• Advanced proficiency in Microsoft Office
